1. Introduction

Welcome to HeroUI Studio ("Service"), an AI-powered creative design platform operated by NextUI Inc. ("Company," "we," "us," or "our"). By accessing or using HeroUI Studio, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms work alongside our Privacy Policy, which describes how we collect and use your data. Please read both documents carefully.

2. Eligibility

You must be at least 13 years of age to use HeroUI Studio. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To access HeroUI Studio, you must create an account using a valid email address. Authentication is handled via magic link codes sent to your email. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Description

HeroUI Studio provides an AI-powered canvas for generating, editing, animating, and exporting creative design assets. Core features include, but are not limited to:

  • AI-powered generation of SVGs, UI components, and other design assets using natural language prompts
  • Animation and morphing of graphics with text-based instructions
  • AI-enhanced prompt improvement
  • Visual canvas editor with branching workflows
  • Export to multiple formats including SVG files, code (e.g. React JSX), clipboard, and more

The Service is continuously evolving and may introduce additional generative AI capabilities, asset types, and export formats over time.

5. Credits and Payments

5.1 Credit System

HeroUI Studio operates on a credit-based system. Each AI generation (e.g. asset creation, animation, morphing, or component generation) consumes credits from your balance. New users receive a complimentary allocation of free credits upon registration.

5.2 Purchasing Credits

Additional credits can be purchased through subscription plans or one-time credit packs. All payments are processed securely through Stripe. Available subscription tiers include Starter, Studio, and Scale plans, each with monthly and annual billing options.

5.3 Billing and Renewals

Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You can manage your subscription, update payment methods, or cancel through the billing portal accessible in your account settings.

5.4 Refund Policy

Unused credits from one-time purchases are non-refundable. For subscription cancellations, you will retain access to your remaining credits and subscription benefits until the end of the current billing period. We do not provide prorated refunds for partial billing periods. If you believe a charge was made in error, please contact us at support@heroui.com.

6. Intellectual Property

6.1 Your Content

You retain ownership of any original files and assets you upload to HeroUI Studio. For AI-generated content (including but not limited to SVGs, animations, UI components, and other design outputs), you are granted a non-exclusive, worldwide, royalty-free license to use, modify, and distribute the outputs for any lawful purpose, subject to the limitations below.

6.2 AI-Generated Content

Content generated by AI models may not be eligible for copyright protection in all jurisdictions. We make no guarantees regarding the intellectual property status of AI-generated outputs. You are solely responsible for ensuring your use of generated content complies with applicable laws.

6.3 Our Service

HeroUI Studio, including its design, features, code, and branding, is owned by NextUI Inc. and protected by intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works of the Service itself.

7. Acceptable Use

You agree not to use HeroUI Studio to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Infringe upon the intellectual property rights of others
  • Attempt to circumvent the credit system or exploit the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse-engineer or extract the AI models or their weights
  • Resell or commercially redistribute the Service itself

8. Third-Party Services

HeroUI Studio integrates with third-party services to deliver its functionality. These include:

  • Google Gemini — AI model for content generation and animation
  • OpenAI — AI model for prompt improvement and content generation
  • Stripe — Payment processing and billing management
  • InstantDB — Database and authentication services
  • Vercel — Hosting and analytics

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third parties.

9. AI Disclaimer

HeroUI Studio uses artificial intelligence to generate, animate, and transform design assets. AI outputs may be imperfect, unexpected, or inconsistent. We do not guarantee that:

  • AI-generated content will meet your exact specifications
  • Outputs will be free from errors or artifacts
  • The same prompt will produce identical results across sessions
  • Generated content will be suitable for any particular purpose

You acknowledge that AI generation consumes credits regardless of whether the output meets your expectations.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to HeroUI Studio. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTUI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF HEROUI STUDIO, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

HEROUI STUDIO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless NextUI Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

Either party may terminate this agreement at any time. You may close your account by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination:

  • Your right to access the Service ceases immediately
  • Unused credits are forfeited and non-refundable
  • We may delete your data in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination will remain in effect

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service. Your continued use of HeroUI Studio after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, you should stop using the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in the State of Delaware.
